These Terms of Service ("Terms") govern your use of the Below Zero Media website (belowzeromedia.com) and any services provided by Below Zero Media ("we," "us," or "our"). By using our website or engaging our services, you agree to these Terms.

1. Services

Below Zero Media provides digital marketing services including paid media management (Google Ads, Meta Ads, Microsoft Ads), search engine optimization, business visibility audits, and related consulting services. Specific service terms, deliverables, pricing, and timelines are set out in individual service agreements or proposals provided to each client.

2. Free Audit Reports

Our free business visibility audit reports are prepared using publicly available information about your business, including Google Business Profile data, website content, search rankings, and review information. By requesting a free audit, you acknowledge that:

• The audit is provided at no charge and without obligation to purchase services
• Audit findings are based on publicly available data and represent our professional assessment, not a guarantee of results
• Requesting an audit constitutes consent to be contacted by Below Zero Media regarding the audit results and our services
• You may opt out of further contact at any time

3. Client Accounts and Ad Spend

For managed advertising services:

• Ad spend (payments to Google, Meta, Microsoft, or other platforms) is paid directly by the client to the platform. Below Zero Media does not hold, manage, or mark up client ad spend.
• Management fees are billed separately from ad spend and are due as specified in your service agreement.
• Clients retain ownership of their ad accounts, historical data, and creative assets at all times.

4. Results and Guarantees

Below Zero Media offers a visibility results guarantee on qualifying service plans as described in individual service agreements. Where a guarantee is offered:

• The guarantee applies to agreed-upon metrics (e.g., ranking improvements, impression growth) over a defined period
• Guarantee terms require the client's cooperation, including account access, timely feedback, and minimum ad spend commitments
• Results are not guaranteed for circumstances outside our control, including algorithm changes, platform policy shifts, or client-side factors

General marketing results (revenue, leads, sales) depend on many factors beyond advertising — including your offer, pricing, sales process, and market conditions. We do not guarantee specific revenue or lead outcomes.

5. Intellectual Property

Ad creative, reports, strategies, and deliverables produced by Below Zero Media for a client become the client's property upon full payment of applicable fees. Our proprietary processes, templates, and methodologies remain our intellectual property.

6. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the engagement. We will not share your business data, account performance, or audit results with third parties except as described in our Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by law, Below Zero Media's liability to any client or website visitor is limited to the amount paid to us in the 30 days preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages arising from use of our services or website.

8. Termination

Either party may terminate a month-to-month service agreement with 30 days written notice. Fixed-term agreements (e.g., 6-month plans) may be terminated early subject to the terms in your individual agreement. Upon termination, we will transfer all account access and assets to you within 5 business days.

9. Governing Law

These Terms are governed by the laws of the State of Illinois. Any disputes shall be resolved in the courts of McLean County, Illinois.

10. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of our services after changes constitutes acceptance of the updated Terms.
